Enterprise Engagement Conditions

1. Scope of Enterprise IT Services§ 1.0

Vanguard Lattice Pty. Ltd. (“Vanguard Lattice”, “we”, “us”) delivers enterprise-grade post-quantum cryptography migration, zero-trust network mesh engineering, ACSC Essential Eight compliance auditing, FIPS 140-3 Hardware Security Module orchestration, and 24/7 sovereign SOC telemetry.

All project engagements are executed under agreed Statements of Work (SOW) detailing cryptographic milestones, deployment environments, testing criteria, and deliverables.

2. Confidentiality & Security Classification§ 2.0

Given the sovereign and mission-critical nature of cryptographic architecture:

• Mutual Non-Disclosure: All cipher schedules, network topologies, key lengths, HSM configurations, and audit telemetry are classified as Strictly Confidential.
• Personnel Clearance: Engineers assigned to federal and defense-adjacent infrastructure hold verified Australian National Security Clearances (NV1 / NV2).
• Zero Key Exposure: Vanguard Lattice will never request or retain plaintext master decryption keys or customer root credentials.

3. Intellectual Property & Algorithmic Licensing§ 3.0

Open standardized algorithms (such as NIST FIPS 203 CRYSTALS-Kyber and FIPS 204 CRYSTALS-Dilithium) remain in public domain governance. Custom microservice mesh adapters, proprietary TPM 2.0 hardware binding firmware, and telemetry collectors developed by Vanguard Lattice remain proprietary IP licensed to the client under the scope of their active subscription.

5. Zero-Knowledge Key Custody & HSM Protocols§ 5.0

Vanguard Lattice enforces a strict Zero-Knowledge Custody principle. All master seed generation occurs inside client-controlled FIPS 140-3 Level 3/4 Hardware Security Modules or Multi-Party Computation (MPC) shards. No employee or automated system of Vanguard Lattice possesses technical capability to reconstruct or decrypt customer payloads without authorization.

6. Limitation of Liability & Warranties§ 6.0

While our cryptographic architectures are mathematically proven against Shor's quantum factorization algorithms, cybersecurity defense involves dynamic operational risks. To the maximum extent permitted by the Australian Competition and Consumer Act 2010 (Cth), liability for consequential damages is limited to the fees paid under the applicable Statement of Work during the preceding 12-month period.

7. Term, Termination & Post-Quantum Continuity§ 7.0

Upon termination of service, all ephemeral session credentials and telemetry logs are securely sanitized using cryptographic erasure standards (NIST SP 800-88 Rev 1). Client deployed lattice certificates remain fully operable and self-sovereign.

8. Governing Law & Jurisdiction§ 8.0

These Terms are governed exclusively by the laws in force in the State of New South Wales and the Commonwealth of Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales.
